Article 1 (Introduction)
These Terms of Use (the "Terms") set out the conditions for use of the mobile game "Aeclis" and its related services (the "Service"). You must agree to the Terms in order to use the Service.
Article 2 (Definitions)
The terms used in the Terms have the following meanings.
- "Operator" means nemutone, which operates the Service.
- "Service" collectively means the mobile game "Aeclis" provided by the Operator, its related website, and any services incidental thereto.
- "User" means any person who uses the Service.
- "Content" means songs, charts, images, text, and other data provided within the Service.
- "Crystals" means the in-game currency available within the Service.
- "Items" collectively means Crystals, songs, and other digital content available within the Service.
Article 3 (Age Restriction; Use by Minors)
The Service is intended for users aged 13 and older. Persons under the age of 13 may not use the Service.
Minors must obtain the consent of a parent or other legal guardian before using the Service. The same applies to the purchase of Crystals and the use of any other paid content.
Article 4 (Accounts)
4.1 Creating an Account
An account is required to use the online features of the Service. Please provide accurate and up-to-date information when registering.
4.2 Managing Your Account
An account may only be used by the person who registered it. Sharing, transferring, or lending an account to a third party is not permitted. Users are responsible for managing their own accounts. The Operator is not liable for damages arising from unauthorized use of an account, except where the Operator has acted with intent or negligence.
4.3 Suspension of Accounts
The Operator may suspend or delete a User's account in any of the following cases.
- Where the User has violated the Terms
- Where fraudulent conduct has been confirmed
- Where the Operator otherwise determines that the User's conduct interferes with the operation of the Service
If an account is suspended or deleted, the User will lose access to any Crystals or Items held on that account. The Operator is not able to provide refunds or other remedies in such cases, except as required by law.
4.4 Deleting Your Account
Users can verify their identity and delete their account on the account deletion page.
Deleting an account terminates any unused Crystals and entitlements to purchased song packs. No refund is provided except as required by law.
Deleting an account does not automatically cancel subscriptions purchased through the App Store or Google Play. Please cancel those subscriptions separately in the respective store.
Article 5 (License)
Subject to compliance with the Terms, the Operator grants Users a non-exclusive, non-transferable license to use the Service.
Content and Items purchased or downloaded within the Service are provided as a right of use only, and no ownership in such Content or Items is transferred to the User.
Article 6 (Prohibited Conduct)
When using the Service, Users must not engage in any of the following conduct.
- Conduct that violates any law, regulation, or public order and morals
- Unauthorized access, cheating, use of bots, or other fraudulent conduct
- Tampering with, reverse engineering, decompiling, or disassembling the application
- Unauthorized collection of data through data mining or similar means
- Conduct that interferes with the operation of the Service
- Harassment, intimidation, or other conduct that causes a nuisance to other Users
- Use of a display name that offends other Users or third parties, or infringes their rights
- Unauthorized reproduction, reposting, or distribution of Content
- Buying, selling, sharing, or transferring an account
- Use by an antisocial force, or conduct that constitutes the provision of a benefit to an antisocial force
- Any other conduct the Operator determines to be inappropriate
Article 7 (Payment and Billing)
7.1 Purchasing Crystals
The Service offers an in-game currency called "Crystals" and other paid content. Payments are processed through the App Store or Google Play.
7.2 Paid Crystals and Free Crystals
Crystals include those obtained through purchase ("paid Crystals") and those granted by the Operator free of charge through campaigns or similar means ("free Crystals"). Free Crystals do not constitute a prepaid payment instrument under the Payment Services Act of Japan and are not eligible for refund. Where a User holds both paid Crystals and free Crystals, free Crystals are consumed first.
7.3 Using Crystals
Crystals may only be used within the Service. They may not be exchanged for cash, transferred to another service, or transferred to a third party.
7.4 Price Changes
The Operator may change the price of Crystals or the contents of purchase packs.
7.5 Refunds
Refunds after purchase are not available, in principle, except as required by law. For details regarding Crystals, please see the disclosure under the Payment Services Act of Japan.
Article 8 (Intellectual Property Rights)
All intellectual property rights relating to the Service (including songs, charts, graphics, and code) belong to the Operator or the rightful rights holder. Content may not be used beyond the scope expressly permitted under the Terms.
Article 9 (Changes to and Termination of the Service)
The Operator may change, add to, or terminate the Service. The Operator will endeavor to provide advance notice of material changes within the Service.

Article 10 (Disclaimer; Limitation of Liability)
The Operator makes no warranty as to the completeness, accuracy, or stability of the Service. The Operator is not liable for damages arising from causes outside the Operator's control, such as communication environment or User device malfunctions, except where the Operator has acted with intent or negligence.
Except where damage arises from the Operator's intentional misconduct or gross negligence, the Operator's liability for damages arising from use of the Service is limited to the total amount the User concerned has paid for the Service in the preceding six months.
Article 11 (Changes to the Terms)
The Operator may change the Terms. Where the Operator changes the Terms, it will announce the revised content and the effective date within the Service by the effective date. The revised Terms will apply from the effective date.
Article 12 (General Provisions)
Even if any provision of the Terms is held invalid under any law or regulation, the remaining provisions will remain in effect.
A User may not transfer its status or any rights or obligations under the Terms to a third party without the Operator's prior written consent. Where the Operator transfers its business relating to the Service to a third party, or succeeds to it through incorporation or other means, the Operator may transfer its status, rights and obligations under the Terms, and the User's registration information to the transferee of such transfer or succession.

Article 14 (Governing Law; Jurisdiction)
The Terms are governed by and construed in accordance with the laws of Japan. The Tokyo District Court has exclusive jurisdiction as the court of first instance over any dispute relating to the Service.
